Welcome to CoachOS. These Terms of Service ("Terms") govern your access to and use of the CoachOS platform, website, mobile applications, and services (collectively, the "Service") operated by CoachOS Ltd ("CoachOS," "we," "us," or "our").

Please read these Terms carefully before using the Service. By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.

1. Description of Service

CoachOS is a software platform that enables fitness and wellness coaches ("Coaches") to manage their coaching businesses and deliver services to their clients ("Clients"). The Service includes features for:

  • Client management and communication
  • Workout programming and tracking
  • Nutrition planning and meal logging
  • Progress tracking and check-ins
  • Health metrics and wearable integrations
  • AI-powered insights and recommendations
  • Payment processing and subscription management
  • Messaging and notifications

2. Eligibility

To use the Service, you must:

  • Be at least 16 years of age (or the age of majority in your jurisdiction)
  • Have the legal capacity to enter into a binding agreement
  • Not be prohibited from using the Service under applicable laws
  • Provide accurate and complete registration information

If you are using the Service on behalf of a business or entity, you represent that you have authority to bind that entity to these Terms.

3. Account Registration

3.1 Account Creation

You must create an account to access most features of the Service. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Use a strong, unique password
  • Not share your account credentials with others
  • Notify us immediately of any unauthorized access
  • Log out of your account after each session on shared devices

3.3 Account Types

Coach Accounts: For fitness professionals who use the platform to deliver coaching services. Coaches are responsible for the services they provide to Clients and must comply with applicable professional standards and regulations.

Client Accounts: For individuals receiving coaching services. Clients are invited by their Coach and access features relevant to their coaching program.

4. Subscription and Payments

4.1 Subscription Plans

CoachOS offers various subscription plans with different features and pricing. Current pricing is available on our website. We reserve the right to modify pricing with 30 days' notice.

4.2 Billing

  • Subscriptions are billed in advance on a monthly or annual basis
  • Payment is processed through Stripe, our third-party payment processor
  • You authorize us to charge your payment method for all fees due
  • Failed payments may result in suspension of your account

4.3 Free Trials

We may offer free trials for certain plans. At the end of the trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends.

4.4 Refunds

Subscription fees are generally non-refundable. However, we may provide refunds or credits at our sole discretion in certain circumstances. Contact support@coachosapp.com for refund requests.

4.5 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until then.

5. Coach-Client Payments

CoachOS facilitates payments between Coaches and Clients through our integrated payment system. Coaches who accept payments through the platform agree to:

  • Connect a valid Stripe account for receiving payments
  • Set clear pricing and payment terms for their services
  • Comply with Stripe's terms of service and applicable payment regulations
  • Pay applicable platform fees as specified in your subscription plan

CoachOS is not responsible for disputes between Coaches and Clients regarding services or payments. Coaches are solely responsible for delivering the services they offer.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Violate any applicable laws, regulations, or third-party rights
  • Provide false, misleading, or inaccurate information
  • Impersonate any person or entity
  • Harass, abuse, or harm other users
  • Send spam, unsolicited messages, or promotional content
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the Service or servers
  • Scrape, crawl, or use automated means to access the Service without permission
  • Reverse engineer, decompile, or disassemble the Service
  • Use the Service for any fraudulent or illegal purpose
  • Resell or redistribute the Service without authorization

7. Coach Responsibilities

Coaches using the Service represent and agree that:

  • They have the necessary qualifications, certifications, and licenses to provide coaching services in their jurisdiction
  • They will provide accurate information about their credentials and experience
  • They will deliver services professionally and in accordance with industry standards
  • They understand CoachOS is a platform tool and does not provide medical, nutritional, or fitness advice
  • They are solely responsible for the coaching services they provide to Clients
  • They will maintain appropriate liability insurance as required by their jurisdiction
  • They will comply with all applicable laws regarding health and fitness services

8. Health Disclaimer

IMPORTANT: CoachOS is not a medical service and does not provide medical advice, diagnosis, or treatment.

  • The Service is intended for general fitness and wellness purposes only
  • Information provided through the Service, including AI-generated insights, is for informational purposes only
  • Always consult a qualified healthcare provider before starting any fitness or nutrition program
  • Stop any exercise immediately if you experience pain, discomfort, or other warning signs
  • Users with medical conditions should obtain clearance from their healthcare provider

By using the Service, you acknowledge that you are voluntarily participating in fitness activities and assume all associated risks. Neither CoachOS nor Coaches using the platform are liable for any injuries, health issues, or adverse effects resulting from use of the Service.

9. User Content

9.1 Your Content

You retain ownership of content you create or upload to the Service ("User Content"), including workout programs, meal plans, messages, photos, and other materials. By uploading User Content, you grant CoachOS a worldwide, non-exclusive, royalty-free license to use, store, display, and distribute your User Content solely to provide and improve the Service.

9.2 Content Standards

You are solely responsible for your User Content. You represent that your User Content:

  • Does not infringe any intellectual property or privacy rights
  • Does not contain illegal, harmful, or offensive material
  • Does not contain false or misleading information
  • Complies with all applicable laws and regulations

9.3 Content Removal

We reserve the right to remove any User Content that violates these Terms or that we deem inappropriate, without prior notice.

10. Intellectual Property

10.1 Our Intellectual Property

The Service, including its design, features, functionality, software, text, graphics, logos, and trademarks, is owned by CoachOS and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.

10.2 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without restriction or compensation to you.

11. Third-Party Services

The Service integrates with third-party services such as payment processors, wearable devices, and OAuth providers. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or content of third-party services.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • Results from using the Service will be accurate or reliable
  • The Service will meet your specific requirements
  • Any errors in the Service will be corrected

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COACHOS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless CoachOS and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your User Content
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Coaching services you provide through the platform (for Coaches)

15. Termination

15.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature in settings. Upon termination, your right to use the Service will immediately cease.

15.2 Termination by Us

We may suspend or terminate your account at any time, with or without cause or notice, including if we believe you have violated these Terms. We may also terminate the Service entirely with 30 days' notice.

15.3 Effect of Termination

Upon termination, provisions that by their nature should survive will remain in effect, including ownership, warranty disclaimers, indemnification, and limitations of liability. You may request a copy of your data before account deletion.

16. Dispute Resolution

16.1 Informal Resolution

Before initiating formal proceedings, you agree to contact us at legal@coachosapp.com and attempt to resolve the dispute informally for at least 30 days.

16.2 Mediation

If informal resolution fails, the parties agree to attempt to resolve any dispute through mediation before commencing court proceedings. Mediation shall be conducted in English by a mediator agreed upon by both parties, or appointed by the Centre for Effective Dispute Resolution (CEDR).

16.3 Court Proceedings

If mediation is unsuccessful, either party may commence proceedings in the courts of England and Wales.

16.4 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in court for intellectual property infringement or unauthorised access to the Service without first engaging in mediation.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over any dispute arising from or relating to these Terms or the Service, subject to the dispute resolution procedures above.

18. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. For significant changes, we will provide additional notice via email or in-app notification at least 30 days before the changes take effect.

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and close your account.

19. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and CoachOS regarding the Service.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
  • Waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
  • Assignment: You may not assign or transfer these Terms without our consent. We may assign our rights and obligations without restriction.
  • Notices: We may provide notices to you via email, in-app notifications, or posting on the Service. You may contact us at the addresses below.
  • Force Majeure: We shall not be liable for any failure or delay due to circumstances beyond our reasonable control.
